Terms of Use & Service Agreement

1. Scope of Services & Deliverables

Our studio provides services including, but not limited to: Brand Strategy, Visual Identity & Logo Design, Brand Guidelines, and Marketing Material Design.

The specific deliverables, project phases, timelines, and number of revision rounds for your project will be defined in a separate Project Proposal or Scope of Work document. That document, together with these Terms, will form the binding agreement (“Agreement”) between Brandiful Studio (“Agency”) and you (“Client”).

Any requests outside the agreed scope of work will be considered additional work and may be subject to additional fees.

2. Fees & Payment Terms

A. Advance Payment: Client agrees to pay a non-refundable advance of 70% of the total project fee before any work commences. This advance covers the initial work and resource allocation required to begin the project.

B. Final Payment & Delivery of Assets: The remaining 30% balance of the total fee is due in full prior to the delivery of the final project files and assets. No final deliverables, source files, or rights will be transferred until full payment is received.

C. Late or Non-Payment: Failure to make payments as outlined constitutes a material breach of this Agreement. In such event, Brandiful Studio reserves the right to immediately halt all work on the project until payment is received. Continued non-payment may result in the termination of the Agreement.

3. Client Responsibilities

The Client agrees to provide timely feedback, approvals, and all necessary materials (copy, images, etc.) required for the project. Delays caused by the Client may affect the project timeline and final delivery date.

Feedback and revision requests must remain within the agreed scope and revision rounds. Additional revisions beyond those included may be subject to additional fees.

4. Intellectual Property & Rights

Upon receipt of full and final payment, Brandiful Studio grants the Client the exclusive, perpetual, and worldwide rights to use the final delivered design work for its intended purposes. Brandiful Studio retains the right to display the work in its portfolio, case studies, and for self-promotional purposes.

All preliminary concepts, sketches, and working files remain the sole intellectual property of Brandiful Studio.

5. Acceptance of Terms via Contact Form

By completing and submitting the contact form on our website, you explicitly confirm that you are authorized to represent the client entity, and that you accept and agree to these Terms of Use and Service on behalf of yourself and/or the client entity.

6. Limitation of Liability

To the fullest extent permitted by law, Brandiful Studio’s total liability under this Agreement shall not exceed the total project fees paid by the Client.

7. Governing Law

These Terms and any Agreement arising from them shall be governed by and construed in accordance with the laws of Italy.
